Service Agreement and Engagement Terms for Elizari
Service Agreement
This agreement is made between you (the client) and Elizari (hereinafter “we”, “us” or “our”). By engaging our services, submitting payment, or signing/accepting a proposal, you agree to the following terms.

We provide growth systems and implementation for service-based businesses. This may include (depending on the package/proposal you select): Search & Visibility, Paid Acquisition, Messaging & Conversion, Brand & Content, Digital Infrastructure, and Automation & AI Systems.
If you purchased a specific plan (ex: the 90-Day Kickstarter Plan), the goal, scope, and benchmarks are defined in that plan and your onboarding email.
Scope of Services
Your exact scope is defined by the package/proposal you selected. Scope may include:
- Search & Visibility (Local SEO, technical SEO, Google Business Profile optimization, authority building, review systems, reporting dashboards)
- Paid Acquisition (campaign builds, ongoing optimization, tracking & attribution, retargeting, landing pages for ads)
- Messaging & Conversion (offer positioning, sales pages/landing pages, funnel architecture, sales process structure)
- Brand & Authority (content strategy, short-form content production, social media management, creative direction)
- Digital Infrastructure (website builds/redesigns, funnels, CRM setup, appointment and onboarding systems, analytics dashboards)
- Automation & AI (chatbots, lead qualification, automation workflows, cross-platform integrations, retention systems)
Any work not explicitly included in your selected package/proposal is out of scope and may require a separate quote.
Back to topWhat We Need From You
To deliver effectively, we may require access to relevant assets such as: website/CMS, hosting, domains/DNS, analytics, ad accounts, Google Business Profile, CRM, scheduling tools, social accounts, and any other systems required for implementation.
Once payment is completed, we will send onboarding instructions to provide secure access. You agree to provide:
- Timely access to required systems
- Timely approvals for creative, copy, and technical changes
- Accurate business information (NAP, service areas, offerings, pricing, brand positioning)
- A primary point of contact for decisions
Delays in access, approvals, or required inputs may shift timelines and pause performance progress.
Guarantee
Our guarantees depend on the type of engagement:
A) For Recurring Projects / Retainers
If agreed benchmarks aren’t met, you don’t keep paying while we keep working.
For recurring projects, benchmarks are defined before anything begins. If progress stalls or targets aren’t reached within the agreed window, billing is paused — and execution continues until the objective is met.
You work directly with the strategist designing your growth structure. Execution is supported by a lean creative team.
B) For One-Time Projects
For one-time projects, if the agreed deliverable isn’t delivered, you receive a full refund.
C) For the 90-Day Kickstarter Plan
If we don’t fulfill the agreed benchmarks, we will stop your billing period until we have reached that goal.
Before work begins, benchmarks are defined. If the agreed benchmarks aren’t met within the proposed timeframe, billing is paused — and execution continues until the objective is met (as long as required access and approvals remain in place).
This assumes required access and required approvals remain in place.
Exclusivity
If exclusivity is included in your package/proposal, then during our collaboration, we commit to not serving any other businesses from your industry in your target city/area.
Exclusivity applies only to the defined industry + defined geographic area, and only for the duration of the active engagement. It does not apply to adjacent industries, different cities/regions, or past/future engagements outside your active period.
Payments, Fees, and Third-Party Costs
You agree to pay the fees stated in your invoice/proposal.
Some services require third-party tools and platforms (ad spend, hosting, domains, software subscriptions, CRM platforms, etc.). Unless explicitly stated otherwise, these costs are paid by the client directly and are not included in our service fees.
No Guarantee of Specific Revenue
We engineer growth systems and execute against agreed benchmarks, but we do not guarantee specific revenue amounts or business outcomes beyond the benchmark structure outlined above, because results depend on factors outside our control (market conditions, competition, offer changes, pricing, responsiveness, approvals, platform policy changes, etc.).

After agreement and signing (or written acceptance), you will receive an invoice with the above-mentioned price. Payment possible via:
- Bank transfer
- PayPal / Apple Pay
- All major credit cards
- Cryptocurrencies
Within 24 hours after payment receipt, you will receive an onboarding email with all further steps.
Timelines begin once payment is received and required access is provided.
Responsibility, Risk, and Limitation of Liability
We take reasonable care and professional diligence in all strategy, implementation, and system changes performed under this agreement. However, certain outcomes and platform behavior are outside our control.
You acknowledge and agree that:
- Platform & policy dependency: Search engines, ad platforms, and third-party tools can change algorithms, policies, UI, or enforcement without notice. We are not liable for impacts caused by such changes.
- Third-party systems: We are not responsible for outages, account restrictions, suspensions, tracking discrepancies, or performance limitations caused by third-party platforms (Google, Meta, hosting providers, CRM vendors, etc.).
- Client-controlled variables: Results can be materially affected by factors outside our control, including pricing, offer quality, sales responsiveness, fulfillment capacity, reputation, competitive intensity, seasonality, and your speed of approvals/access.
- Implementation safeguards: We will not intentionally deploy changes designed to harm your business. We use best practices to reduce risk, but you accept that marketing and technical implementation carry inherent uncertainty.
- Indirect damages: To the maximum extent permitted by law, we are not liable for indirect or consequential damages (lost profits, lost revenue, business interruption, or reputational loss) arising from or related to the services.
- Liability cap: If liability is found, our total liability is limited to the amount you paid us for the services in the 30 days preceding the event giving rise to the claim (or the total fees paid for the specific one-time project, if applicable).
Nothing in this section limits liability where it cannot be limited under applicable law.
